June 17, 2020 SENT VIA E-MAIL TO: requests@muckrock.com Re: FOIARequest Number 2020-FEFO-00794 Acknowledgment Dear Todd Feathers: This correspondence acknowledges receipt of your Freedom ofInformation Act (FOIA) request to the Department of Homeland Security (DHS),Federal Emergency Management Agency (FEMA), dated June 09, 2020 and receivedin this office on June 09, 2020. Youare seeking the followingrecords:1) Copies of all RFP documents related to the FEMA contract awarded to GeoSpark Analytics for its Hyperion global threat and risk assessment platform ( https://www.prnewswire.com/news-releases/geospark-analytics-awarded-fema-contract-for-use-of-hyperion-and-ai-driven-risk-models-301066136.html).This should include the original RFP, GeoSpark Analytic's response to the RFP, and any subsequent communications between the two companies as part of the RFP process.2) Copies of all contracts, memorandums of understanding, or comparable documents between GeoSpark Analytics and FEMA for the Hyperion system.3) Copies of all technical manuals, user guides, instructions, handbooks, policies and procedures, or comparable documents--produced either by FEMA or by GeoSpark Analytics--for the Hyperion global threat and risk assessment platform. Yourrequest has been assigned the following tracking number 2020-FEFO-00794. Due to current working conditions in response to theCOVID-19 outbreak, please expect a delay in our response. Please be assured that we continue ourcommitment to provide timely FOIA responses and are processing your FOIArequest as soon as possible. In regards to your request for afee waiver, the DHS FOIA Regulations at 6 CFR § 5.11(k)(2) set forth sixfactors DHS is required to evaluate in determining whether the applicable legalstandard for a fee waiver has been met:  (1) Whether the subject of therequested records concerns “the operations or activities of the government;”(2) Whether the disclosure is “likely to contribute” to an understanding ofgovernment operations or activities; (3) Whether disclosure of the requestedinformation will contribute to the understanding of the public at large, asopposed to the individual understanding  of the requestor or a narrowsegment of interested persons; (4) Whether the contribution to publicunderstanding of government operations or activities will be “significant;” (5)Whether the requester has a commercial interest that would be furthered by therequested disclosure; and (6) Whether the magnitude of any identifiedcommercial interest to the requestor is sufficiently large in comparison withthe public interest in disclosure, that disclosure is primarily in thecommercial interest of the requestor. Upon review of your request andan evaluation of the six factors identified above, DHS has determined that itwill conditionally grant your request for a fee waiver. The fee waiver determination will be basedupon a sampling of the responsive documents received from the various DHSprogram offices as a result of the searches conducted in response to your FOIArequest. DHS will, pursuant to DHSregulations applicable to non-commercial requestors, provide two hours ofsearch time and process the first 100 pages at no charge to you. If upon further determination that, DHSdetermines that the disclosure of the information contained in those documentsdoes not meet the factors permitting DHS to waive the fees then DHS will atthat time either deny your request for a fee waiver entirely or allow for apercentage reduction in the amount of the fees corresponding to the amount ofrelevant material found that meets the factors allowing for a fee waiver. In either case, DHS will promptly notify youof its final decision regarding your request for a fee waiver. Due to the increasing number ofFOIA requests received by this office, we may encounter some delay inprocessing your request. Consistent withthe DHS FOIA Regulations 6 C.F.R. § 5.5(a), FEMA processes FOIA requestsaccording to their order of receipt. Although FEMA’s goal is to respond within 20 business days of receipt ofyour request, FOIA does permit a 10-day extension of this time period incertain circumstances. As your requestseeks documents that will require a thorough and wide-ranging search, FEMA willinvoke a 10-day extension for your request pursuant to 5 U.S.C. §552(a)(6)(B). If you would like tonarrow the scope of your request, please contact our office. We will make every effort to comply with yourrequest in a timely manner. We have queried the appropriateoffices within FEMA for responsive records. If any responsive records are located, they will be reviewed fordetermination of releasability. We will contact you again once our review iscompleted and/or the search is completed. Interim responses will be provided as appropriate. We appreciate your patience as we proceedwith your request If you have any questions or would like to discuss this matter, youmay contact FEMA’s FOIA Office at 2020-FEFO-00794. Good afternoon,

2020-FEFO-00794

In processing the above referenced request, it was determined that responsive records contain information that DHS has reason to believe may be protected from disclosure under FOIA Exemption 4 as confidential business information.

Executive Order 12600 (June 23, 1987) and the DHS FOIA regulations at 6 C.F.R. § 5.8(f) require that a government agency provide pre-disclosure notification to the submitter of business information when the submitter’s confidential commercial information has been requested under FOIA.

Due to the above requirements, there has been some delay in receiving a final response to your request. We are pursuing the necessary actions and expect to have a final response sent to you by December 23, 2020. We apologize for any inconvenience and thank you for your patience.
